About the Role:Assists the Vice President, General Counsel with
providing strategic direction and leadership over the global legal
and compliance program. Provides and directs the delivery of
best-in-class legal advice/counsel to senior management, leaders
and other teams which includes but is not limited to corporate,
legal and regulatory issues and risk areas, such as
anti-corruption, conflicts of interest, business partner
relationships, commercial matters (licensing agreements,
distributor agreements, dealer relations, supply agreements),
product safety/quality matters, marketing/advertising, contracting,
social accountability and human rights, inclusion, and
sustainability across the organization, trade and sanctions
compliance and other legal or regulatory management strategies.
What you will be doing:
- Provides legal oversight and serves as a legal advisor for
legal matters affecting Johnson Outdoors including but not limited
to regulatory compliance, corporate governance, customer privacy,
intellectual property, operations, financial and administrative
activities and all major business transactions (acquisitions,
divestitures, licensing, technology transfers/collaborations and
joint ventures).
- Partners globally with business unit and functional
leadership/staff such as finance, human resources, research and
development, engineering, etc. on a variety of legal matters. Acts
as the key legal representative on several organizational
cross-functional subcommittees and working groups.
- Directs and oversees outside counsel and acts as a liaison
between outside counsel and internal teams to ensure alignment with
compliance and organizational policies and practices.
- Performs advanced analysis, and develops as well as implements
company policies and procedures, including training, and ensures
periodic monitoring.
- Writes reports, opinions, correspondence and other legal
documents related to processes, policies, procedures, and
contracting. Analyzes and researches statutes, regulations and
legal issues to ensure required regulatory and legal requirements
are followed.
- Assists in directing system-wide corporate governance processes
to guide the business on how it is operated, regulated and
controlled. Ensures adherence to ethical standards, best practices
and protects stakeholders' interests. Develops and communicates
policies and procedures for the organization's standards of legal
and ethical conduct.
- Collaborates with internal audit to implement appropriate
compliance and regulatory monitoring in partnership with external
legal counsel for international businesses. Oversees, identifies
and prioritizes key risks for the organization across the globe.
Supports the risk committee, conducts internal investigations and
provides regular reports to senior management.
- Perform pre-litigation work to minimize risks and maximize
legal rights. Manages outside counsel to represent the organization
in important litigation cases, including preparing or reviewing the
preparation of briefs and other court documents.
- Performs other duties as assigned.
What you need to succeed:
- Juris doctor awarded by a national law school accredited by the
American Bar Association; legal journal/law review experience a
plus; licensed to practice in Wisconsin or eligible to waive
in.
- Typically requires a minimum of 10 years of experience which
includes functioning as a practicing attorney at a regional or
national level law firm, providing in-house corporate counsel, and
overseeing legal affairs in a manufacturing or financial services
environment.
- Demonstrated solid understanding of and ability to understand
strategic objectives, financial performance and operations and
effectively incorporate into legal planning.
- Proven skills in effectively managing outside counsel to
protect the organization and minimize risk.
- Knowledge and experience in managing an organization's
compliance, regulatory and corporate governance programs, processes
and policies.
- Knowledge and experience in transactional law, specifically
related to business development, M&A, licensing and contracted
services.
- Excellent business and financial acumen to understand the
business effect of decisions made. Excellent skills and abilities
in grasping legal and business issues quickly to balance risks and
practice practical and constructive legal advice in a
time-sensitive, dynamic environment.
- Excellent verbal and written communication skills to
effectively provide legal counsel to senior management and internal
teams and manage external legal counsel. Ability to successfully
mediate difficult and controversial issues, organizational policies
and procedures in the context of applicable laws and
regulations.
- Demonstrated strong and effective leadership skills
- Experienced and comfortable working in a cross-cultural
environment.
- Proficient at analyzing laws, regulations, standards, governing
documents, contracts, risk management issues and matters to advise
the organization on legal risk.
- Skilled at performing legal research, drafting and editing
various legal documents and advising an organization to ensure
appropriate legal processes are followed.
- Ability to travel domestically and internationally as
needed.
- Proficiency in Microsoft Office Applications including Word,
